Refer-a-Friend Program — Terms & Conditions

Eligibility — Referring player, Supported Countries. To participate as a referring player and receive cash payments, you must have a valid 1047 Games account with a verified email address and be 18 years of age or older and be a resident of the United States or the EU (“Supported Countries”). List of supported countries can be found at the bottom of the page. By generating a referral code, you register for the Refer a Friend program and a ZEBEDEE, LLC ("ZBD") account will be created on your behalf to hold any rewards you earn. You agree to the terms and conditions governing such ZBD account: http://zbdpay.com/payout-terms. To receive a referral reward, a player you refer via your referral code must become a referred player as described in these terms and subject to applicable law and these terms.

Eligibility — Referring player, Unsupported Countries. If you are not a resident of a Supported Country, you can still register for the Refer a Friend program. Instead of cash you will receive in-game currency which can be used within EMPULSE, not to exceed the value of 200 Creds.

Eligibility — Referred player. To qualify as a referred player, you must meet all of the following conditions: (1) you must be 18 years of age or older; (2) your EMPULSE account must have been created after the creation of the referring player’s EMPULSE account and be no more than 7 days old at the time you enter the referral code that you have received from the referring player (preexisting 1047 Games accounts qualify and are exempt from the 7-day account-age requirement); (3) you must enter a valid referral code within your first 100 minutes of in-match play time; and (4) you must accumulate a minimum of 130 minutes of in-match play time, have owned EMPULSE for at least 2 weeks, and not have requested a refund for your purchase of EMPULSE. Referral codes are locked upon entry and cannot be changed. Only one referral code may be entered per EMPULSE purchase. Void where prohibited.

Reward amounts. Referral rewards are not a fixed amount. The reward paid to the referring player is determined by 1047 Games in its sole discretion based on the value received by 1047 Games from the referred player's purchase of EMPULSE, up to a maximum of $5.00 USD per confirmed referral.

Reward amounts may vary by region, currency, exchange rates, taxes, and other factors. The reward amount associated with any referral is final and determined by 1047 Games. Rewards have no cash value until released and are subject to all conditions herein and applicable law.

Subject to applicable law, referral rewards will be paid approximately 30 days from the date upon which the referred player meets all eligibility criteria. Rewards will not be released while any associated chargeback or refund is pending or confirmed on the referred player’s account.

Fraud, exploitation, and withholding. Subject to applicable law, 1047 Games reserves the right, in its sole discretion, to withhold, reverse, or permanently forfeit any referral reward where it reasonably suspects fraud, abuse, exploitation of platform refund policies, multi-account manipulation, use of VPNs or proxies to misrepresent geographic location, or any other attempt to circumvent the intent of this program. Such determinations are final.

Cashout and fees. Monetary rewards are paid out in your local currency through ZBD, a third-party payment provider. To receive funds, you must complete payout account linking and identity verification (KYC) as required by ZBD. Processing fees are borne by the recipient and deducted from the payout amount at the time of cashout. Standard bank transfer carries a fee of approximately 5% of the payout amount (with a minimum of $0.50 USD). Same-day transfer carries an additional flat fee. All applicable fees are disclosed in full before you confirm a payout. Current fee schedule can be found below:

1047 Games is not responsible for delays caused by your bank or payment provider. We reserve the right to place a hold on payout requests if such payout requests are flagged or otherwise subject to risk including due to an apparent or suspected issue related to fraud, a violation of these Terms and Conditions, a violation of our payment partner terms, or for any reason that subjects 1047 Games to risk as determined by us in our sole reasonable discretion for such duration as we determine is necessary to assess, resolve and otherwise review the issue.

Taxes. Referral rewards may constitute taxable income. In the United States, cumulative rewards of $600 or more in a calendar year may be subject to IRS Form 1099 reporting requirements. You are solely responsible for any taxes owed on rewards received. 1047 Games and ZBD are not liable for any tax obligations arising from your participation in this program.

Geographic availability. This program is available only in regions where ZBD operates and where real-money rewards are legally permissible. 1047 Games reserves the right to exclude any region at any time for any reason and without notice.

Modifications and termination. Subject to applicable law, 1047 Games reserves the right to modify, suspend, or terminate this program at any time at its sole discretion. Rewards already released to your ZBD balance at the time of termination remain yours subject to ZBD’s terms.

Governing Law and Forum Choice

These terms and any action related thereto will be governed by the Federal Arbitration Act and the laws of the State of California, without regard to its conflict of laws provisions. Except as otherwise expressly set forth herein, the exclusive jurisdiction for all Disputes (as defined in the Dispute Resolution section below) that you and we are not required to arbitrate will be the state and federal courts located in the Northern District of California, and you and we each waive any objection to jurisdiction and venue in such courts.

Dispute Resolution

Note that this section does not limit any statutory rights you have under applicable law. To the extent that local law in your jurisdiction provides for different rights, those laws will control.

Mandatory Arbitration of Disputes -- for US Residents only. We each agree that any dispute, claim or controversy arising out of or relating to these terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Services (collectively, “Disputes”) will be resolved solely by binding, individual arbitration and not in a class, representative or consolidated action or proceeding. You and 1047 Games agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of these terms, and that you and 1047 Games are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these terms.

Exceptions. As limited exceptions to the Mandatory Arbitration of Disputes subsection above, the following Disputes can be resolved in court and need not be resolved through arbitration: (i) any Dispute that can be resolved in small claims court (if it qualifies); and (ii) any Dispute involving the infringement or misappropriation of our intellectual property rights.

Conducting Arbitration and Arbitration Rules. The arbitration will be conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (the “AAA Rules”) then in effect, except as modified by these terms. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879. A party who wishes to start arbitration must submit a written Demand for Arbitration to AAA and give notice to the other party as specified in the AAA Rules. The AAA provides a form Demand for Arbitration at www.adr.org.

Any arbitration hearings will take place in the county (or parish) where you live, unless we both agree to a different location. The parties agree that the arbitrator shall have exclusive authority to decide all issues relating to the interpretation, applicability, enforceability and scope of this arbitration agreement.

Arbitration Costs. Payment of all filing, administration and arbitrator fees will be governed by the AAA Rules, and we won’t seek to recover the administration and arbitrator fees we are responsible for paying unless the arbitrator finds your Dispute frivolous. If we prevail in arbitration, we’ll pay all of our attorneys’ fees and costs and won’t seek to recover them from you unless the arbitrator finds your Dispute frivolous. If you prevail in arbitration, you will be entitled to an award of attorneys’ fees and expenses only to the extent provided under applicable law.

Injunctive and Declaratory Relief. Except as provided in the Exceptions subsection above, the arbitrator shall determine all issues of liability on the merits of any claim asserted by either party and may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. To the extent that you or we prevail on a claim and seek public injunctive relief (that is, injunctive relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the public), the entitlement to and extent of such relief must be litigated in a civil court of competent jurisdiction and not in arbitration. The parties agree that litigation of any issues of public injunctive relief shall be stayed pending the outcome of the merits of any individual claims in arbitration.

Class Action Waiver. YOU AND 1047 GAMES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, if the parties’ dispute is resolved through arbitration, the arbitrator may not consolidate another person’s claims with your claims and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution section shall be null and void.

Severability. With the exception of any of the provisions above, if an arbitrator or court of competent jurisdiction decides that any part of these terms is invalid or unenforceable, the other parts of these terms will still apply.

Assignment. You may not assign or transfer these terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these terms, without such consent, will be null and void. 1047 Games may freely assign or transfer these terms without restriction. Subject to the foregoing, these terms will bind and insure to the benefit of the parties, their successors and permitted assigns.
